By accessing and using Peak (the "Service"), you accept and agree to be bound by these Terms of Service. If you do not agree to these Terms, you may not access or use the Service.

18+ Only: You must be at least 18 years old to use Peak. By using the Service, you represent that you meet this age requirement.

1.2 AI Processing Consent

By using Peak, you explicitly consent to AI processing of your data by F.R.I.D.A.Y. and our third-party AI partners (OpenAI, Anthropic).You cannot opt out of AI processing while using the platform.

2. Description of Service

2.1 Core Platform Features

Peak is a comprehensive AI-powered project management platform featuring:

  • Project Management System: Complete project lifecycle with 8 specialized tabs
  • Interactive Diagram Builder: AI-powered visual content creation
  • Time Tracking System: Advanced productivity analytics
  • Team Collaboration: Real-time communication and coordination
  • Advanced Theme System: Customizable user interface

2.2 F.R.I.D.A.Y. AI Intelligence Systems

Our advanced AI assistant provides six core intelligence capabilities:

  • Conversational Intelligence: Natural language understanding with contextual memory
  • Orchestration Intelligence: Real-time workflow coordination and resource optimization
  • Memory Intelligence: Advanced semantic memory across unlimited project history
  • AI Agent Orchestra: Deploy intelligent research teams for parallel analysis
  • Visual Intelligence: Screenshot analysis and interactive diagram creation
  • Command Center: Voice-controlled dashboard with predictive analytics

3. User Account & Subscription

3.1 Account Requirements

To use Peak, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security of your password and account credentials
  • Accept responsibility for all activities under your account
  • Use your own personal payment method (18+ requirement)

3.2 Subscription Plans & Billing

Pricing Structure:

  • Free Trial: 3 days, up to 3 projects
  • Standard Plan: $49.99/month
  • Unlimited Plan: $99/month
  • Enterprise: Custom pricing (future)

3.3 Payment Processing & Refunds

  • All payments processed securely through Stripe
  • Automatic recurring billing unless cancelled
  • Refund policy detailed in our Refund Policy
  • Price changes with 30 days notice

3.4 Account Security

You are responsible for:

  • Maintaining confidentiality of account credentials
  • All activities that occur under your account
  • Immediately notifying us of unauthorized access
  • Using strong passwords and enabling available security features

4. Acceptable Use & AI Usage Guidelines

4.1 Prohibited Activities

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Upload malicious code, viruses, or harmful content
  • Infringe on intellectual property rights
  • Harass, abuse, or harm others
  • Attempt to gain unauthorized access to the Service
  • Share account credentials with unauthorized users
  • Reverse engineer or attempt to extract our AI models

4.2 AI Usage Guidelines

Responsible F.R.I.D.A.Y. AI Use:

  • Do not use AI for generating harmful, illegal, or discriminatory content
  • Do not attempt to circumvent AI safety measures or content filters
  • Do not use AI to generate misleading or deceptive information
  • Do not input sensitive personal information of others without consent
  • Do not use AI for competitive intelligence against Covalent Inc.
  • Do not attempt to extract training data or model parameters

4.3 Voice Interaction Guidelines

  • Voice commands are processed via OpenAI Realtime API
  • Do not record or share voice interactions with unauthorized parties
  • Respect others' privacy in shared workspaces during voice sessions
  • Voice data is processed transiently - no permanent voiceprint storage

4.4 Content Standards

All user-generated and AI-generated content must:

  • Comply with applicable laws and professional standards
  • Respect intellectual property rights
  • Avoid discriminatory or offensive material
  • Not violate privacy or confidentiality obligations

⚠️ Research Note: Confirm content deletion rights and policies. Current understanding: Covalent reserves right to delete content that violates policies.

5. Intellectual Property & Content Ownership

5.1 Platform Ownership

The Service and its original content, features, functionality, F.R.I.D.A.Y. AI system, and underlying technology are and will remain the exclusive property of Covalent Inc. and its licensors. The Service is protected by copyright, trademark, patent, and other intellectual property laws.

5.2 User Content Ownership

Your Content Remains Yours: You retain ownership of all content you create, upload, or generate using Peak, including projects, tasks, documents, and data.

5.3 AI-Generated Content Ownership

F.R.I.D.A.Y.-Generated Content: You own all diagrams, documents, analyses, and other content created by F.R.I.D.A.Y. AI in response to your requests. This includes:

  • AI-generated diagrams and visual content
  • Research reports and analyses
  • Document summaries and insights
  • Workflow optimizations and recommendations

5.4 Content Removal Rights

Covalent Inc. reserves the right to remove content that:

  • Violates these Terms of Service
  • Infringes on intellectual property rights
  • Contains illegal or harmful material
  • Violates applicable laws or regulations

5.5 Data Export Rights

You have the right to export your content in standard formats:

  • CSV, JSON, TXT formats for structured data
  • Standard image formats for diagrams and visuals
  • PDF exports for reports and documents
  • Full data export before account deletion

5.6 License Grant to Covalent

By using Peak, you grant Covalent a limited, non-exclusive license to process, store, and display your content solely for the purpose of providing the Service. This license terminates when you delete content or close your account.

6. Privacy Policy Integration

Your privacy is critically important to us. Our comprehensive Privacy Policyis incorporated into these Terms and governs your use of the Service.

6.1 AI Data Processing

Key privacy highlights for F.R.I.D.A.Y. AI processing:

  • Conversation Memory: 60 days retention, user-clearable
  • Third-Party AI: OpenAI and Anthropic processing with strict privacy standards
  • No Training Data: Your data is NOT used to train base AI models
  • User Control: Full data export and deletion rights

7. Account Termination & Suspension

7.1 Termination by You

  • Cancel subscription anytime through account settings
  • Account remains active until end of billing period
  • Request complete data deletion via email
  • Export data before account closure

7.2 Termination by Covalent

We may terminate or suspend your account immediately for:

  • Violation of these Terms of Service
  • Illegal activity or harmful content
  • Non-payment of fees
  • Abuse of AI systems or platform resources
  • Repeated violations of usage guidelines

7.3 Effects of Termination

  • Immediate loss of access to all services
  • 30-day grace period for data retrieval (upon request)
  • Permanent deletion of all data after grace period
  • Refunds governed by our Refund Policy

8. Service Disclaimers & Warranties

8.1 Service Availability

Peak is provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties, express or implied, including:

  • Warranties of merchantability and fitness for a particular purpose
  • Guarantees of uninterrupted or error-free service
  • Warranties regarding third-party integrations or AI partner services
  • Guarantees of data accuracy or completeness

8.2 AI System Disclaimers

F.R.I.D.A.Y. AI Limitations:

  • AI-generated content may contain errors or inaccuracies
  • AI recommendations are not professional advice
  • AI performance may vary based on input quality and system load
  • Voice recognition accuracy depends on audio quality and background noise
  • Memory system may occasionally lose context or produce inconsistencies

8.3 User Responsibility

You acknowledge and agree that:

  • You use Peak at your own risk and discretion
  • You are responsible for verifying AI-generated content accuracy
  • Professional decisions should not be based solely on AI recommendations
  • You maintain independent backups of critical data

9. Limitation of Liability

9.1 Liability Cap

Maximum Liability: Our total liability to you for all claims related to Peak shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

9.2 Excluded Damages

In no event shall Covalent Inc., its directors, employees, partners, agents, suppliers, or affiliates be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, goodwill, or other intangible losses
  • Damages resulting from AI-generated content inaccuracies
  • Business interruption or loss of business opportunities
  • Third-party service failures (OpenAI, Anthropic, Stripe, etc.)
  • Data breaches at third-party service providers

9.3 AI-Specific Liability Limitations

Regarding F.R.I.D.A.Y. AI services, we specifically disclaim liability for:

  • Decisions made based on AI recommendations or analyses
  • Errors in AI-generated diagrams, documents, or insights
  • Memory system data loss or corruption
  • Voice recognition failures or misinterpretations
  • Agent deployment failures or incomplete research results

9.4 Jurisdictional Limitations

Some jurisdictions do not allow limitation of certain damages, so some limitations may not apply to you. This section applies to the maximum extent permitted by applicable law in Florida and the United States.

10. Terms Modifications & Updates

10.1 Update Process

We reserve the right to modify these Terms to reflect:

  • New F.R.I.D.A.Y. AI features and capabilities
  • Changes in service offerings or pricing
  • Legal compliance requirements
  • Enhanced user protections or rights

10.2 Notification & Acceptance

  • Material Changes: 30 days advance notice via email
  • Minor Changes: Updated "Last Modified" date and in-app notification
  • Emergency Changes: Immediate notice for legal or security reasons
  • Continued Use: Constitutes acceptance of updated terms

10.3 Disagreement with Changes

If you disagree with updated Terms:

  • Cancel your subscription before the effective date
  • Export your data before account closure
  • Contact support to discuss concerns

11. Dispute Resolution & Legal Terms

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles.

11.3 Jurisdiction & Venue

  • Exclusive jurisdiction: Florida state and federal courts
  • Venue: St. Petersburg, Florida or surrounding jurisdictions
  • You consent to personal jurisdiction in Florida courts

11.4 Class Action Waiver

Individual Disputes Only: You agree to resolve disputes on an individual basis only. No class actions, mass arbitrations, or collective proceedings are permitted.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Covalent Inc. regarding Peak and supersede all prior agreements and understandings.

12.2 Severability

If any provision of these Terms is found to be unenforceable, that provision will be removed and the remaining provisions will remain in full force and effect.

12.3 Assignment

  • You may not assign these Terms without our written consent
  • We may assign these Terms in connection with mergers, acquisitions, or asset sales
  • These Terms bind successors and permitted assigns

12.4 Force Majeure

Neither party is liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, or third-party service failures.
